1.     General Procedures

In these Rules and Regulations unless the context otherwise requires:

“TrafficJunky” means Aylo Freesites Ltd.

“Member” means any account holder of the Website including Buyers and Sellers.

“Website” means the Trafficjunky website under the domain name https://www.trafficjunky.com/

1.1.Rules and Procedures Across the Network

The following is not allowed or forbidden:

• The use of automation (bots) designed to modify your bids;
• Exit blockers;
• Auto downloading content;
• The promotion of Technical Support sites;
• The promotion of ad-blockers;
• The promotion of any tube sites that are not affiliated with our network of Publisher sites;
• The promotion of sites that offer free content that are not affiliated with our network of publisher sites;
• The promotion of political ads including but not limited to campaigns, rallies, or any form of promotion that may sway or influence a voter’s opinion;
• Importing, advertising and/or selling electronic cigarette products in Canada is prohibited;
• Any sites that promote products that will enable users to download;
• Any form of imitation of our network of publisher sites;
• Any ads that imitate parts of our network of publisher sites -
  • Colors,
  • Thumb sizes,
  • Template,
  • Layout,
  • Deceptive designs, or
  • Website elements.
• Any visual representation of sexual activities -
  • By any persons, real or imaginary, under the age of 18 years.
  • Any content that displays a person portrayed under the age of 18 years and is engaged, or portrayed as engaged, in explicit sexual activities.
• Any campaigns displaying persons/performers who are, or look, underage;
• Use this website (or post any content that) in any way that promotes or facilitates prostitution, solicitation of prostitution, human trafficking, or sex trafficking;
• Use this website to arrange any in-person meetings for purposes of sexual activity for hire;
• Ads that contain racial epithets or ethnic slurs are strictly prohibited;
• Any form of deepfake;
• Any distribution of malicious JavaScript -
  • Campaigns with malicious JavaScript will be terminated without refund,
  • Campaigns will be terminated,
  • Advertisers will be banned, and
  • Refund requests will be invalidated.

Google Chrome:

The following is considered to create an “Abusive Ad Experience” by the browser Google Chrome, and should therefore be considered not allowed and/or forbidden:

• Ads that auto-redirect a page without user action.
• Ads that resemble site warnings or error messages.
• Ads that simulate messages, dialog boxes, or request notifications.
• Ads depicting features that do not work.
• Ads that display close buttons that do anything other than close the element when clicked.
• Ads when clicked anywhere outside the border of the ad lead to an ad landing page.
• Ads that depict misleading calls-to-action.
• Ads that display countdowns are prohibited.
• Ads with play buttons are strictly prohibited.
• Ads with misleading texts and prompts are not permitted.

Online Cannabis Advertisements:

Advertisers must abide by country and/or state-specific laws on digital advertisement of cannabis and all cannabis-related products.

Please note that country and state laws are subject to change. It is the sole responsibility of advertisers to ensure that their advertisement is in compliance with all regulations based on the targeted state.

Online Gambling Advertisements:

Advertisers must abide by country and/or state-specific laws on digital advertisement with gambling.

Please note that country and state laws are subject to change. It is the sole responsibility of advertisers to ensure that their advertisement is in compliance with all regulations based on the targeted state.

General:

• Across all platforms, there is a maximum file size of 300KB.
• Any of the following are subject to a review if they are affecting site performance -
  • Campaigns,
  • Ads, and
  • Landing pages.
• TrafficJunky reserves the right to pause any ads that affect the network of publisher sites, that we may consider negative, without need for prior notice.
• The following can be paused when they infringe on intellectual property, copyright, patent, and trademark laws:
  • Campaign ads, and
  • Landing pages
• A surfer must be allowed the option of opting out of additional offers in any subscriptions to a product.
• Mouse-over animation is allowed in non-animation spots; additional data that is above 300KB must be downloadable only upon mouse-overs.
• Members can only have one active account, and only specific members can hold multiple accounts; these members have been permitted to do so by TrafficJunky.
• To maintain the quality of our bidding platform, ads across multiple campaigns triggered by the same targets on a spot or geo zone will receive the same treatment as a single campaign on the spot giving multiple campaigns no advantage.
• All campaigns must comply with 2257 laws, i.e., ads and landing pages.
• All ads are subject to an approval process; can be approved or deemed as inappropriate.
• Each landing page must open in a new browser window/tab.

Young Model or Imitation of Underage Person(s):

• Ads, landing pages, and member areas must be 2257 compliant.
• Valid 2257s and ID must be provided upon request for models and actors/actresses.
• TrafficJunky has the right to refuse an ad, regardless of 2257’s and ID’s provided if we still feel it negatively affects the user experience across our network of publisher sites.
• Child pornography is strictly prohibited.

Section 163.1 of the Criminal Code (R.S.C., 1985, c. C-46) define Child Pornography as follows:

1. a photographic, film, video, or other visual representation, whether or not it was made by electronic or mechanical means,
   1. that shows a person who is or is depicted as being under the age of eighteen years and is engaged in or is depicted as engaged in explicit sexual activity, or
   2. the dominant characteristic of which is the depiction, for a sexual purpose, of a sexual organ or the anal region of a person under the age of eighteen years;
2. any written material, visual representation, or audio recording that advocates or counsels sexual activity with a person under the age of eighteen years that would be an offense under this Act;
3. any written material whose dominant characteristic is the description, for a sexual purpose, of sexual activity with a person under the age of eighteen years that would be an offense under this Act; or
4. any audio recording that has as its dominant characteristic the description, presentation, or representation, for a sexual purpose, of sexual activity with a person under the age of eighteen years that would be an offense under this Act.

Pharmaceuticals:

• Ads may have branded pharmaceutical names and resemble the branded pill's shape, however, there must be the word *Generic* or a phrase *Better the branded name(s) or *Just like * the branded name(s) visibly stated on the banner.
• Landing Pages must contain the phrase “Consult your doctor”.

Cartoon Ads:

• The use of Disney characters is not permitted.
• Underage characters are strictly prohibited (i.e. underage or young Bart, Little Lisa Simpson, and Baby Maggie, etc.).
• Characters must appear of legal age.
• Incest is strictly prohibited.
• Bestiality is strictly prohibited.

Facebook:

• The use of the term “Facebook” is strictly prohibited.
• Any imitation of the “Facebook” website or brand, color scheme, logo, and text are strictly prohibited.

Substances:

• The advertisement of alcohol products is permitted provided the campaign promotes the product alone and does not depict the use of the product in a sexual context.
• In the event that a drug is legal in a specific country or state; advertisers must abide by the laws in the region targeted. Ads are subject to review and removal at any given time.
• Any depiction of consumption, be it alcohol or drugs, is strictly prohibited.
• The depiction of intoxicated persons in sexual acts, be it by alcohol or drugs, is strictly prohibited.

Firearms:

Guns can be used in ads (video/Images/GIF) under these conditions: 

• not used to acquire sex or in a sexual context, and 
• not used in a threatening manner.

Acts that are strictly prohibited:

• Abuse
• Bestiality
• Blood
• Crying
• Drugs
• Extreme Violence
• Incest
• Rape
• Scatophiliac
• Torture
• Urination

​​Misleading Elements

All Ads that are defined as deceptive or misleading will not be approved, specifically, but not limited to:

• The context and concept of an ad must be related to the landing page.
• The following must be included in an ad -
  • Branding
  • Logo
  • Text
• The following must not be included in an ad -
  • Page numbers
  • Time 
  • Views
• Flashing colors that have a high contrast in comparison to the site must not be used on animated ads. For example, an electric blue background with yellow text and red borders.

The following are misleading:

• Any of the following text is not under any circumstances permitted on ads or banners -
  • BANNED
  • FORBIDDEN
  • ILLEGAL
• Ads or banners that use the term “Facebook” or any imitation of the “Facebook” website or brand; color scheme, logo, and text are not permitted.
• Ads or banners that imitate the publisher’s page (this is not limited to other page elements, icons, logos, or color schemes).

All campaigns (ads/landing pages) are subject to review if deemed inappropriate:

• All campaigns (ads/landing pages) must be 2257 compliant.
• Campaigns (ads/landing pages) with underage-looking performers are not permitted.
• All ads subject to approval if deemed inappropriate.

​1.3 Pop-Under

The following is not allowed or forbidden:  

• Malvertising,
• Scareware,
• Misleading and Fear-mongering ads,
• JS Alerts/Exit Pops,
• Timed redirects,
• Antivirus campaigns,
• Backjacking/looping ads/ or any form of back-button hijack,
• Using Pornhub branding without explicit authorization,
• Sweepstakes,
• Auto-downloading content,
• Auto-playing sound (for mobile pops),
• Vibrations,
• Anything misleading,
• Tech support (and similar) campaigns are strictly forbidden,
• Any distribution of malicious JavaScript is strictly forbidden.

Any use of the above malicious ads can result in pause without notice and freezing of all funds in the account. Furthermore, any Tech Support (and similar) campaigns, or distribution of malicious JavaScript will result in:

• Campaigns will be terminated without refund,
• Advertisers will be banned, and
• Refund requests will be invalid.

The following is not allowed or forbidden for VPN ads:

• Signs: There should be no signs such as, danger, yield, stop, hazard etc.
• Flashing: Avoid flashing signs that suggest someone to an action.
• Title: If the title suggest they need to update for example, Mobile Antivirus update required, the product doesn’t have access to know if this is actually true.
• Creeper: Anything suggesting Pornhub spies, or someone is watching you.
• If you Don’t: if it suggests that if you don’t take an action something bad will happen.
• Our Website: Anything that suggest our site is why you need to download, or using Pornhub Branding to push users to download.
• Auto Download: Anything with an auto download.
• Push: If they ignite the push notification without an action.
• Colors: Avoid red, it usually signifies danger.

​1.4 Data Processing Agreement

Aylo Freesites Ltd. (“we”, “us”, “our”) includes the present Data Processing Agreement and the model clauses (if applicable) (collectively the “DPA”) as part of our agreements with users who have an advertiser account with TrafficJunky or users who wish to open an advertiser account on the Website (“you”, “your”). We do not necessarily make available Personal Data or Personal Information (as hereinafter defined) with every user who opens an advertiser account on the Website, but should we make available such Personal Data or Personal Information with you, the terms of this DPA shall apply. As such, you hereby enter into this DPA with us (collectively, the “Parties” and individually, the “Party”). The Parties agree that terms and conditions set out herein shall be added as an agreement to the Website's Terms of Use and Rules & Regulations. In the event of any conflict between the terms of this DPA and the Website's Terms of Use and Rules & Regulations, the terms of this DPA shall prevail. 

1.      Definition

“CCPA” and “California Consumer Privacy Act” mean California Civil Code sections 1798.100 to 1798.199 and any amendments thereto, together with the California Consumer Privacy Act Regulations promulgated by the California Attorney General.

“Business”, “Business Purpose”, “Sell”, and “Service Provider” each have the meaning set forth in the CCPA.

“Data Protection Laws” means all applicable regional, national, and international (including the GDPR and CCPA) laws, orders, regulations, and regulatory guidance now or in the future relating to information security, privacy and data protection.

“GDPR” means European Union (“EU”) General Data Protection Regulation 2016/679, and any EU or European Economic Area (“EEA”) member state laws implementing or supplementing the GDPR.

“Data Subject”, “Controller”, and “processing” each have the meaning set forth in the GDPR.

“Model Clauses” means the standard contractual clauses for the transfer of Personal Data to Controllers established in third countries which do not ensure an adequate level of data protection pursuant to EU Commission Decision 2004/915/EC amending Decision 2001/497/EC, made available to you in conformity with Section 7 herein.

“Personal Information” or “Personal Data” mean, respectively, any personal information, as that term is defined in the CCPA, or any personal data, as that term is defined in the GDPR, of or relating to Users that you obtain from or through us, or that we make available or cause to be made available, release, disclose, transfer, disseminate, or otherwise communicate orally, in writing, or by electronic or other means to you. Personal Information and Personal Data may include, without limitation, User internet protocol (IP) Address and probabilistic or technical identifier in the browser string or user agent information or other browser metadata that might be made available to you to permit you to display advertisements on a website within the network of publisher sites.

“Services” means providing advertising or marketing services (pursuant to CCPA section 1798.140(d)(4) and (5)) by technically delivering advertisements to Users of websites within the TrafficJunky network of Publisher sites.

“User” means a visitor to a website within the TrafficJunky network of publisher sites.

2.      Compliance with Data Protection Legislations

You must ensure compliance at all times with any relevant data protection laws and acceptable industry practices with regard to your use or processing of Personal Information or Personal Data. For greater clarity, this DPA and the rights and obligations found herein shall apply to any and all Personal Information and Personal Data made available by us to you at any given point in time.

3.      Service Provider

The Parties agree that you are acting as a Service Provider to provide services to us. 

4.      Permitted Uses and Processing

You may use or process Personal Information and Personal Data only as necessary and proportionate to provide the services by technically delivering advertisements to Users. Specifically, you may:

1. use a User’s IP address, browser string and/or user agent to technically deliver an Ad or other content you have received explicit permission from us to display to Users (“Permitted Content”); 
2. respond to a User’s interaction with an Ad or Permitted Content by sending the User to a landing page;
3. use information about the device type and capabilities for delivering Ads or Permitted Content, for example, to deliver the right size Ad or video file in a format supported by the device;
4. use real-time information about the context in which the Ad will be shown to show the Ad, including information about the content of the website and the device, such as device type and capabilities, user agent, URL, and IP address;
5. prevent an Ad from serving in an unsuitable context. 

5.      Prohibited Uses and Processing

You shall not process, use, retain or disclose Personal Information or Personal Data for any purpose other than those listed in Section 4.

You shall not: (a) Sell Personal Information or Personal Data; (b) retain, use or disclose Personal Information or Personal Data obtained from us (i) outside the direct relationship between the Parties, or (ii) for any purposes (including any commercial purpose) other than for the specific purposes of performing the Services specified herein; or (c) further collect, sell, or use the Personal Information or Personal Data that is disclosed to you by us except as necessary to perform the Services.

For the avoidance of doubt, you shall not: (d) disclose Personal Information or Personal Data to any other party; (e) use or process Personal Information or Personal Data to create or enhance a profile about a User or otherwise alter an individual User’s experience outside the current interaction in which the Ad is displayed; (f) combine Personal Information or Personal Data with data or information from other sources; or (g) use or process Personal Information or Personal Data to match a User with an existing profile or to select Ads based on an existing profile or other historical data, including a prior activity, interests, visits to sites or apps, location, or demographic information.

You shall not store information on User’s devices such as cookies, use pixel tags or other similar tracking technology, or access device identifiers.

6.      Compliance with GDPR

Each Party is an independent Controller of Personal Data under the GDPR. You will comply with the restrictions set forth in this DPA concerning the processing of Personal Data. Each Party will comply with the obligations applicable to it under the GDPR with respect to its processing of Personal Data.

7.      International Transfers

To the extent that it is possible that we transfer Personal Data originating from the EU or EEA to you at any location outside the EEA, you will receive from us a set of Model Clauses which will apply between the Parties, and you will be bound by the terms of the Model Clauses. The terms of this DPA shall be read in conjunction with the Model Clauses in any circumstance in which the Model Clauses apply.

8.      Indemnification

You agree to indemnify, defend and hold harmless, on demand, us, including our parent, subsidiaries, affiliates and each of our or their respective officers, shareholders, directors and employees (“Indemnified Parties”), from and against any claims, damages, losses, liabilities, penalties, fines, costs, charges or expenses (including reasonable attorney's fees) arising out of or in relation to the performance by you, your employees, or any third party working on your behalf, of your obligations under this DPA, or your failure, your employees’ failure or the failure of any third party working on your behalf, to comply with this DPA, or any applicable law, regulation, rule or guidance.

9.      Governing Law and Jurisdiction

The Parties to this DPA hereby submit to the choice of jurisdiction and law stipulated in the Website Terms of Use with respect to any disputes or claims arising under this DPA.

10.   Miscellaneous

This DPA supersedes any prior or inconsistent agreements, negotiations, representations, and promises, whether written or oral, with respect to the subject matter herein. We reserve the right to amend this DPA at any time in our absolute discretion. By continuing to use your account with us, you will be deemed to have agreed to the amended DPA.

This DPA, including the restrictions set forth in Section 5, shall remain in effect as long as you retain, store, use or process any Personal Information or Personal Data. If you cease to use the services or we terminate your account, you must immediately delete all Personal Information and Personal Data. 

11.   Certification

You certify that you understand and will comply with the requirements and restrictions set forth in this DPA, and with all applicable provisions of the CCPA and the GDPR.
